PointClickCare SUMMIT 2018 Sponsorship Terms & Conditions

All payments are due upon registration and will be coordinated with the primary contact.
 
Access to PointClickCare SUMMIT 2018 meeting attendees is a benefit for all SUMMIT Sponsors; therefore, no Sponsor is permitted to hold an event inviting SUMMIT attendees which conflicts with conference activities. Failure to comply with this policy could place your Sponsor status in jeopardy. PointClickCare partners who do not sponsor the conference will be prohibited from attending the SUMMIT.
 
A. SPACE RENTAL
  1. Booth Reservations: This contract is for use of space, which includes, a six -foot long table, two chairs, standard carpeting and a standard booth sign carrying the Sponsor’s name. Electrical, Internet and lead retrieval devices are not included. Order forms will be available via the Exhibitor Manual.
  2. Turn Key Kiosk reservations: For First Time Exhibitors only. This contract is for use of 5 x 8 space which includes, one turn-key kiosk with lockable counter, back wall with Sponsors logo, wall mounted monitor, and electrical, standard carpeting. The Turn Key Kiosks will be located within the Marketplace.
  3. Space Assignment: Space assignments will be made in August 2018. Booth location in the Partner Marketplace will be determined by PointClickCare in its sole discretion based on level of sponsorship and the order in which sponsorship applications were received.
  4. Cancellation of Conference: PointClickCare, its agents and employees will not be liable for failure to hold the conference as scheduled. In the event of cancellation, all payments for sponsorship will be returned to Sponsors less actual expenses incurred in connection with the exposition where the exposition is cancelled up to 90 days in advance or in the event the conference is made impossible or commercially impracticable due to causes including fire, explosion, war, terrorism, strike or other differences with workers, shortage of facility, material or labor, delay in or lack of transportation, temporary or permanent site shutdown, breakdown or accident, compliance with or other action taken to carry out the intent or purpose of any law, regulation or other requirement of any governmental authority, or any cause beyond PointClickCare's reasonable control.
  5. Furnishings: Furniture, and/or additional draping, accessories, signs, etc., are the sole responsibility of the Sponsor. Table coverings as well as all equipment must be of non-­flammable material.
  6. Change of Dates and Location: PointClickCare reserves the right to change the dates and location of SUMMIT and will provide prompt advance notice to Sponsor of such change. Where applicable, PointClickCare will provide Sponsor with comparable booth space in the new location. If Sponsor opts to cancel its reservation of booth space due to such change, PointClickCare will provide refunds in accordance with the cancellation policy stated in Section B below.
  7. Height Regulations: Limit of the exhibit booth and materials is 8 ft. Hanging of any materials from the ceiling is prohibited.
     
SUBCONTRACTING CLAUSE
As a Sponsor, you acknowledge that neither the sponsorship agreement nor its entitlements in question may be assigned or transferred to any entity or third party to perform in whole or in part without the express written approval of the Vice President of Marketing for PointClickCare. Any such activity is prohibited, and shall render the agreement null and void, with no refund.
 
B. CANCELLATION OF DEMONSTRATION CONTRACT/FAILURE TO PAY
  1. Cancellation: No cancellation shall be acknowledged until PointClickCare has received written notice.
  2. Cancellation Policy: Cancellations prior to the dates listed below will be entitled to a full refund less a $100 processing fee per booth.
  3. Cancellation of Booth Attendee: Cancellations prior to the dates below will be entitled to a full refund.
  4. Failure to Pay: Failure to remit the balance of the sponsorship cost by August 1, 2018 constitutes cancellation of contract and the reserved space will be subject to resale without refund or deposit.
  5. PointClickCare reserves the right to terminate and cancel a contract with a Sponsor at its discretion. In the event PointClickCare exercises this right, the Sponsor’s sole remedy shall be limited to a refund of fees paid to PointClickCare pursuant to the Application for Sponsorship.

$25,000 - $100,000

If your sponsorship investment is between:
$15,000 - $24,000
No refunds will be made 30 days after confirmation or after July 5, 2018 Full payment due net 30 days of purchase
If your sponsorship investment is between:
$8,500 - $14,000
No refunds will be made 30 days after confirmation or after July 5, 2018 Full payment due net 30 days of purchase
Additional booth attendees 50% refund before October 15, 2018.
No refund will be made on or after October 15, 2018
Full payment due net 30 days of purchase
 
C. CONSTRUCTION, INSTALLATION AND USE OF EXHIBITS AND EXHIBIT FACILITIES
  1. Any issue not specifically covered by the foregoing terms and conditions shall be determined solely by PointClickCare. PointClickCare shall add to and/or amend the foregoing terms and conditions provided such changes are reasonable in nature and consistent with the purposes of the foregoing. All such changes will be issued to the Sponsors in the most time-efficient manner possible. Each Sponsor will be responsible for forwarding this information to the parties who will set up and/or staff the space.
  2. Acceptability of Demonstration Space: All exhibits shall be to serve the interests of the attendees of SUMMIT and shall be operated in a way that will not detract from other exhibits or the conference as a whole. PointClickCare reserves the right to require the immediate withdrawal of any exhibit that is believed to be injurious to the purpose of the SUMMIT.
  3. Restriction on Selling: SUMMIT is for educational and informational purposes only. Sales may not be made and orders may not be filled at any of the exposition facilities unless pre­approved by PointClickCare.
  4. Music: The playing or use of any form of music is strictly forbidden in the Expo Hall.
  5. Monitors should not impede views of surrounding booths. Maximum screen size may not exceed 32 inches.
  6. Restrictions on Use of Space: Exhibit booths must be maintained by at least one representative at all times during show hours. No Sponsor shall sublet, assign, or share any part of the space allocated to it without the prior written consent of PointClickCare. Solicitation or demonstrations must be confined within the bounds of each Sponsor's booth. Aisle space shall not be used for exhibit purposes, display signs solicitation, or distribution of promotional material. No obstructions may be placed in any aisles, passageways, lobby or exits leading to any fire extinguishing appliances. Nothing may be posted, tacked, nailed, glued or screwed to any part of the building. Exhibits, signs and displays are also prohibited in any of the public spaces or elsewhere on the premises of the meeting facilities or in the guest rooms or hallways of hotels.
  7. Installation and Dismantlement of Exhibits: All installation and dismantlement of exhibits must be carried out during the set up and dismantle times. No exhibits may be erected after the exhibition opens or be dismantled before the official closing time. It is the responsibility of the Sponsor to see that all his or her materials are delivered to the exhibit hall by the specified deadline. Should the Sponsor fail to remove his or her exhibit, PointClickCare will arrange the removal at the expense of the Sponsor. All empty crates, upon erection of the display, shall be labelled as such and properly identified with the company name and booth number for removal from exhibit floor. All empty crates and cartons must be properly identified to facilitate their delivery at the close of the show. Should any Sponsor dismantle an exhibit prior to the close of the event, there will be a penalty charge of $500.00. It is the responsibility of the Sponsor to remove or arrange shipping of all equipment at show closing. Any equipment left behind will be removed at Sponsors expense.
  8. Failure to Occupy Space: Space not occupied by the close of the exhibit installation period as specified in the accompanying material will be forfeited by the Sponsor and its space may be resold, reassigned or used by PointClickCare in its sole discretion. If the exhibit is on hand, PointClickCare reserves the right to assign labor to set up any display that is not in the process of being erected by given deadline and to instruct that the Sponsor be billed for all charges thus incurred.
  9. Shipments: Advance shipments of exhibit material are not allowed. The hotel will only accept shipments three days prior to the start of the conference.
  10. Fire and Safety Regulations: Fire regulations require all display material used for decoration to be flameproof. Any/all electrical equipment, including signs and lights, shall be in good operable condition and must be able to pass the inspection of the local Fire Underwriters Inspection Bureau. Each Sponsor agrees to be knowledgeable and responsible regarding ordinances and regulations pertaining to health, fire prevention and public safety while participating in this exposition. No combustible material shall be stored in or around Sponsor booths.
D. LIABILITIES / INSURANCE
The Sponsor assumes responsibility and agrees to indemnify, defend and hold harmless Gaylord Opryland & Conference Center, Nashville, Tennessee, PointClickCare and their respective owners, managers, subsidiaries, affiliates, employees and agents (collectively “Indemnified Parties”) from and against any claims or expenses arising out of the use of exhibition premises.
 
Sponsor agrees to obtain and maintain during the use of the exhibition premises, Comprehensive General Liability Insurance, including contractual liability covering the Sponsor’s indemnity in this Section D. Such insurance shall be in the amount of not less than $1,000,000 combined single limit for personal injury and property damage. The Indemnified Parties shall be named as additional insureds on such policy, and Sponsor shall supply the Indemnified Parties with Certificates of Insurance at least 30 days prior to the use of the exhibition premises.
 
The Sponsor understands that the Indemnified Parties do not maintain insurance covering the Sponsor’s property and it is the sole responsibility of the Sponsor to obtain such insurance.
 
E. USE OF INTELLECTUAL PROPERTY
The Sponsor hereby grants PointClickCare a right and irrevocable license to use any and all information pertaining to the Sponsor, including logos and intellectual property, on PointClickCare’s website or in other promotional or informational material of PointClickCare relating to the conference.
 
F. AMENDMENT, APPLICABLE LAW AND FORUM
Any and all matters not specifically covered by the terms and conditions in this contract shall be subject to the decision of PointClickCare. PointClickCare may amend the aforementioned items covered by this contract at any time in the interest of SUMMIT, and notice thereof shall be binding on Sponsors equally with the foregoing provisions set forth in this contract. This contract shall be governed by and construed in accordance with the laws of the State of Delaware, United States.
